About this Opportunity

Reporting to the Board and Chief Executive Officer, this position is required to be the overseer of corporate governance and will leverage the incumbent’s skills and experience to implement best practice governance policies, procedures and processes.

The role will assist and support the Chair and Chief Executive Officer to ensure meetings are efficient and effective, including the preparation of calendars and agendas and the taking of minutes, and that there are efficient and effective decision-making systems, structure and processes in place. The role will ensure that RSPCA WA complies with legislative requirements.

Key Duties

  • Perform the duties and responsibilities of a Company Secretary 
  • Be the authoritative source of information relating to corporate governance and overseer of the corporate governance framework
  • Provide counsel on corporate governance principles and director liability
  • Act as Executive and Administrative Officer to the Chair, the Board and the Chief Executive Officer

Skills & experience

  • Tertiary qualification in a relevant discipline or equivalent level of expertise gained from a combination of experience, training or professional accreditation
  • Demonstrable history in dealing with corporate governance in complex organisations in a Company Secretary or compliance based role.
  • Excellent verbal and written communication skills, with high attention to detail and the ability to present high quality information clearly.
  • Experienced in collaboration and negotiation, particularly in dealing with executive level management and Board Members.
  • The ability to plan and prioritise a varied workload and meet fixed deadlines.
  • Experience with policy development, procedure writing and process implementation.


  1. A good understanding of not-for-profit organisations. 
  2. Experience in dealing with legislative bodies and Government, or a strong understanding of appropriate protocol.
  3. Possession of a ‘C’ class driver’s licence.
